Terms of Service

Welcome to AgntCraft. These Terms of Service ("Terms") govern your access to and use of the AgntCraft platform, website, and related services (collectively, the "Service") operated by Hassan Ventures LLC ("Company," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Acceptance of Terms

By creating an account, accessing, or using AgntCraft, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Description of Service

AgntCraft is an AI agent builder platform that allows users to create, configure, and deploy autonomous AI agents using natural language. Agents can connect to third-party services (such as email, calendars, CRMs, and messaging platforms) and perform tasks on the user's behalf. The Service includes agent configuration tools, workflow templates, execution monitoring, and related features.

3. Account Registration

To use most features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration.
• Maintain and promptly update your account information.
• Keep your password secure and confidential.
• Accept responsibility for all activity that occurs under your account.
• Notify us immediately of any unauthorized use of your account.

We reserve the right to suspend or terminate accounts that contain inaccurate information or that violate these Terms.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You shall not:

• Use agents to send spam, unsolicited communications, or bulk messaging.
• Use the Service for any illegal, fraudulent, or harmful activity.
• Attempt to gain unauthorized access to any part of the Service, other accounts, or third-party systems.
• Use the Service to harass, abuse, or harm others.
• Deploy agents that impersonate real individuals without their consent.
• Reverse engineer, decompile, or disassemble any part of the Service.
• Use the Service in a manner that could damage, disable, overburden, or impair the platform.
• Violate any applicable local, state, national, or international law or regulation.

We reserve the right to investigate and take appropriate action against anyone who violates this provision, including removing content, suspending or terminating accounts, and reporting to law enforcement.

5. Intellectual Property

Your Content

You retain ownership of the agent configurations, prompts, workflows, and outputs ("User Content") that you create using the Service. By using the Service, you grant us a limited, non-exclusive license to host, process, and display your User Content solely as necessary to provide and improve the Service.

Our Platform

The Service, including all software, designs, text, graphics, interfaces, and underlying technology, is owned by Hassan Ventures LLC and is protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works of any part of the Service without our prior written consent.

6. AI-Generated Content

The Service uses artificial intelligence models to generate content, responses, and agent actions. You acknowledge and agree that:

• AI-generated outputs may contain errors, inaccuracies, or biases.
• You are solely responsible for reviewing, verifying, and approving all agent outputs before they are sent, published, or acted upon.
• The Company does not guarantee the accuracy, completeness, or reliability of any AI-generated content.
• You should not rely on AI-generated content for medical, legal, financial, or other professional advice without independent verification.

7. Third-Party Integrations

The Service allows you to connect third-party services such as Gmail, Google Calendar, Slack, HubSpot, and others ("Third-Party Services"). Your use of Third-Party Services is governed by their respective terms of service and privacy policies. We are not responsible for the availability, accuracy, or content of Third-Party Services. By connecting a Third-Party Service, you authorize AgntCraft to access and interact with that service on your behalf, within the scope of permissions you grant.

8. Payment Terms

AgntCraft offers paid subscription plans with flat monthly pricing. By subscribing to a paid plan, you agree to the following:

• All payments are processed securely through Stripe. We do not directly store your payment card information.
• Subscriptions are billed monthly in advance on a recurring basis.
• You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period.
• We do not offer refunds for partial billing periods, except where required by law.
• We reserve the right to change pricing with 30 days' notice. Continued use after a price change constitutes acceptance of the new pricing.

9. Service Availability

We strive to maintain high availability and reliability of the Service, but we do not guarantee uninterrupted or error-free operation. The Service is provided on a "best effort" basis at the current stage. We may perform scheduled maintenance, updates, or modifications that temporarily affect availability. We are not liable for any downtime, data loss, or service interruptions.

10. Limitation of Liability

To the maximum extent permitted by applicable law:

• The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.
• In no event shall Hassan Ventures LLC, its officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising out of or in connection with your use of the Service.
• Our total aggregate liability for any claims arising from or related to the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

11. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination:

• Your right to use the Service ceases immediately.
• We may delete your account and associated data in accordance with our Privacy Policy.
• Provisions that by their nature should survive termination (including intellectual property, limitation of liability, and governing law) will remain in effect.

You may terminate your account at any time by contacting us or using the account settings within the Service.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Colorado, United States, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Colorado, and you consent to the personal jurisdiction of such courts.

13. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Effective date" above. Your continued use of the Service after changes are posted constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.
